Corporation Secretary at Kenya Airports Authority

Job Purpose: The Corporation secretary is responsible for ensuring that KAA complies with standard

financial and legal practice and maintains standards of corporate governance.

Although they are not strictly required to provide legal advice, a company secretary must have a thorough understanding of the laws that affect their areas of work.

The jobholder will act as a point of communication between the Board of Directors and the principal shareholder (Government), reporting in a timely and accurate manner on statutory procedures and developments.

The Job Holder reports to the Managing Director.
 
Role Responsibilities
  • Organizing, preparing agendas for and taking minutes of board meetings
  • Maintaining statutory books, including registers and other statutory documents
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant stakeholders
  • Provides company secretarial services including statutory filing and compliance of government circulars returns and coordinates responses to government
  • Contributing to Board discussions as and when required and advising members of the legal, governance, accounting and tax implications of proposed policies
  • Follows up with management on decisions of the Board to ensure they are implemented.
  • Provide administrative support and guidance to the Board of Directors about the day-to-day management of the corporation including compliance with legal and statutory requirements.
Qualifications and Experience
  • Bachelor’s degree in Law
  • Chartered Public Secretary (CPS qualification)
  • Minimum 10 years of experience in a large size organization and thorough knowledge of the operations of government and public corporations
  • Excellent spoken and written communication skills
  • Good presentation and negotiation skills
  • Good organizational and time management skills
  • A high degree of attention to details
  • A good understanding of business law and finance
  • Sound judgment and problem solving ability
  • The ability to prioritize and manage a busy workload and meet strict deadlines
  • Computer literacy
